Keep IT Simple Project Scope and Summary

This Agreement is made today, 05/23/2016, between Keep IT Simple, known for the purpose of this agreement as "Client", and Nova Web Development, LLC, hereafter known as "Developer". In consideration of Client retaining Developer to conduct an independent service for the client it is agreed as follows:

1. Compensation and Terms
The Client hereby retains Developer and Developer hereby agrees to perform the following services:

This agreement includes the development and implementation of a custom designed website, redesign of security admin panel, and customer login panel for website.  The website application will include up to ten (10) designated pages including Home, services, support, about, contact, FAQs, login, & helpdesk.  Links are not considered dedicated pages.  The purpose of this effort will be to provide a consistent look and feel across every screen, and make the application cross-browser.  This website will be mobile browser friendly, working on devices such as an iPhone, iPad, and Android devices.  Below are the various features that will be implemented:

Ongoing maintenance will be billed at the hourly rate of $75/hour with a two hour minimum charge. A monthly or quarterly retainer can be negotiated if dedicated blocks of time for maintenance are needed.

$1833.33 due upfront. $1833.33 due upon website demo & remaining balance due at project launch. Invoice due upon receipt.

2. Confidentiality
This Agreement creates a confidential relationship between Developer and Client. Information concerning Developer’s and/or Client’s business affairs, vendors, finances, properties, methods of operation, computer programs, employees, documentation, and other such information whether written, oral, or otherwise, is confidential in nature. The Developer, Client and employees of both will adhere fully to this confidentiality agreement. Should Client require a Non-Disclosure Agreement, Client will provide said document.

3. Governing law
This agreement shall be binding upon the heirs and assigns of the parties and shall be governed by and interpreted according to the laws of the State of Alabama.

4. Entire agreement
This agreement represents the full understanding between the parties and there is no other agreement, oral or written, between them, and that this agreement may not be modified without an agreement in writing signed by the party to be charged. This contract is in effect until written notification of termination from either party.

5. Notices
All notices or other documents under this agreement shall be in writing and delivered personally emailed, or mailed by certified mail, postage prepaid, addressed to Client and Developer at their last known addresses.

6. Single Points of Contact
The Developer’s single point of contact will be at info@novawebdev.com. Clients’ single point of contact will be John Cowan. All correspondence concerning the project will be handled between Developer and Client. All correspondence sent from other employees of the companies will be ignored and forwarded to the respective single point of contact.

7. Source Files and Copyrights
Client will retain all source files including their copyrights. No royalty fees will need to be paid to Developer for their use. Developer retains the rights to use Client’s website as a part of Developer’s portfolio.

8. Warranty
Developer warrants that the completed work will be free of design and development errors for 30 calendar days from project completion (website being launched).

9. Supported Web Browsers
Developer supports Chrome and Firefox. Internet Explorer, Edge, Safari, Opera and any other browsers are not supported unless they are explicitly stated as such in this document.
